1. Service Description

SettledUp is a SaaS platform that automates accounts receivable follow-up for small businesses. The service sends SMS payment reminders to customers on behalf of Business Owners and provides AR monitoring and notification tools.

2. Eligibility

You must be at least 18 years old and operating a legitimate business to use SettledUp. By registering you represent that all information you provide is accurate and complete.

3. SMS Program Terms

For Business Owners:

• Business Owners may opt in to receive SMS notifications from SettledUp including morning AR summaries, invoice payment reminders, spreadsheet update alerts, and account notifications
• SMS consent is optional. Business Owners who do not opt in will not receive SMS notifications
• Message frequency varies based on your account activity, typically one message per business day
• Message and data rates may apply
• To cancel SMS notifications, reply STOP to any message. You will receive a confirmation that your opt-out has been processed and no further messages will be sent
• Reply HELP to any message to receive support contact information: travis@settledup.co
• SettledUp and its carrier partners are not liable for delayed or undelivered messages
• SMS opt-in data and consent will not be shared with any third parties except for aggregators and providers of SMS delivery services

For End Users (invoice recipients):

• SMS payment reminders are sent on behalf of Business Owners using the SettledUp platform
• Message and data rates may apply
• To cancel, reply STOP to any message. A confirmation will be sent and no further messages will be delivered
• Reply HELP for support contact information
• SettledUp and its carrier partners are not liable for delayed or undelivered messages

4. Business Owner Responsibilities

By adding a customer's phone number to SettledUp you confirm that:

• You have added disclosure language to your invoices informing customers that payment reminders may be sent via text to the number on file
• The phone number provided is accurate and belongs to the intended recipient
• Your use of SettledUp complies with all applicable laws including the TCPA and CAN-SPAM Act
• You will honor all customer opt-out requests promptly

SettledUp recommends including the following language on all customer invoices:

“Payment reminders may be sent via text to the number on file. Reply STOP to opt out.”

5. Subscription and Billing

• SettledUp is offered at $39/month per account
• Billing occurs monthly on the date of signup
• A 30-day money-back guarantee is offered to new customers
• Cancellation takes effect at the end of the current billing period
• No refunds are issued for partial months beyond the 30-day guarantee period

6. Acceptable Use

You agree not to use SettledUp to:

• Send messages to individuals who have not been disclosed to per Section 4
• Harass, threaten, or deceive recipients
• Violate any applicable law or regulation
• Attempt to reverse engineer or misuse the platform

7. Data and Integrations

By connecting a third-party account to SettledUp you grant us read-only access to retrieve accounts receivable data. We do not modify, delete, or write data to your connected accounts. You may revoke access at any time through your account settings or directly through the provider's permissions page.

Google Sheets:

We request spreadsheets.readonly access to read the specific spreadsheet you select. We use this data solely to identify overdue invoices and send payment reminders on your behalf. SettledUp's use of Google API data adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Microsoft OneDrive:

We request Files.Read access to browse your OneDrive and read the content of the spreadsheet you select. We access only the file you explicitly choose and do not access any other OneDrive content.

QuickBooks:

We request read-only access to retrieve invoice and customer data (names, phone numbers, amounts, due dates). We do not access financial account data, banking information, payroll, or any data beyond overdue invoice identification.

8. Disclaimer of Warranties

SettledUp is provided “as is” without warranties of any kind. We do not guarantee that the service will be uninterrupted, error-free, or that all SMS messages will be delivered successfully due to factors outside our control including carrier restrictions.

9. Limitation of Liability

To the maximum extent permitted by law, Just Go Ventures LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of SettledUp. Our total liability shall not exceed the amount paid by you in the 30 days prior to the claim.

10. Modifications

We reserve the right to update these Terms at any time. We will notify you of material changes via email. Continued use of SettledUp after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania.
